American Guardian Warranty Services (AGWS), an affiliate of Reynolds and Reynolds, is a leading provider of administration services for agents and dealers, offering service contracts, vehicle protection plans, limited warranties, and a range of environmental and aftermarket products available across the United States. AGWS is seeking a Corporate Counsel to support commercial contracts, employment law matters, product documentation, and corporate governance activities. This role offers broad legal exposure and direct interaction with company leadership in a small, fast-paced legal department.
Responsibilities include but are not limited to:
Commercial Agreements
- Draft, review, negotiate, and maintain dealer, agent, and producer agreements, addenda, and program documentation.
- Handle vendor, technology, services, and licensing agreements, including data protection and confidentiality terms.
- Prepare and process non-disclosure and confidentiality agreements.
- Review marketing, co-branding, and promotional agreements and supporting materials.
- Maintain contract templates, playbooks, and fallback positions to improve turnaround and consistency across the commercial book.
- Support the drafting of reinsurance agreements, amendments, and terminations, subject to senior review.
Employment Law Support
- Serve as first-line internal counsel to Human Resources and business leaders on employment questions arising in the ordinary course.
- Draft and maintain employee handbook provisions, workplace policies, and related documentation across multiple states.
- Prepare separation agreements, releases, offer letters, restrictive covenant provisions, and performance management documentation.
- Advise on accommodation and leave requests, wage and hour questions, worker classification, and policy application.
- Coordinate with outside employment counsel on administrative charges, litigation, and complex multi-state analysis.
Product and Consumer Forms
- Draft and revise the commercial terms of consumer-facing product forms, including coverage grants, exclusions, limits of liability, cancellation and refund mechanics, and transferability provisions.
- Partner with Product and Actuarial to align contract language with pricing assumptions and claims administration.
- Coordinate with the regulatory and compliance function, which retains ownership of state amendatory language, filing strategy, and final approval to file.
Corporate Governance
- Support corporate secretarial functions, including board and committee materials, resolutions, and minute books.
- Assist with subsidiary maintenance, officer and director appointments, registered agent administration, and entity records across the corporate structure.
Juris Doctor from an ABA-accredited law school; Licensed attorney in Illinois or eligible for Illinois in-house counsel admission; Two or more years of relevant experience in a law firm, in-house department, or combination, with substantive commercial contract drafting and negotiation; Knowledge of employment law matters, whether through direct practice or as part of a generalist in-house role; Strong legal writing, contract review, and risk assessment skills; Ability to manage a high volume of concurrent matters with limited supervision and to communicate practically with non-lawyers; Experience in insurance, extended warranty, finance and insurance products, automotive retail, or consumer financial services preferred; Familiarity with multi-state regulatory environments and licensed-entity structures preferred; Exposure to reinsurance arrangements, producer-owned reinsurance companies, or captive structures preferred; Experience supporting corporate governance for a holding company and its subsidiaries preferred
